1Agreement to terms
These Terms form a binding agreement between you and Michał Włosik EFC, ul. Północna 16/5, 54-105 Wrocław, Poland (NIP: 8942747708). By installing, accessing, or using the Service, you confirm you have read and agree to these Terms and our Privacy Policy. If you do not agree, please discontinue use.
2Eligibility
The Service is intended for individuals aged 16 and older. By using Sidecue, you represent that you are at least 16 and have the capacity to enter into these Terms. If you use it on behalf of an organization, you represent that you can bind that organization.
3Account registration
- You are responsible for keeping your login credentials confidential.
- You are responsible for all activity under your account.
- You agree to provide accurate registration information and keep it current.
- Notify us at contact@sidecue.app if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms or that we reasonably believe are used fraudulently.
4Description of the service
During an active session, the extension captures tab audio (not your microphone), transcribes it in real time, detects questions, and generates suggested cues in a side panel or overlay. The dashboard lets you manage your knowledge base, session history, account, and subscription.
Sidecue is an assistive tool. The cues it generates are suggestions only. You are solely responsible for what you say, and we make no guarantees about the accuracy or appropriateness of generated content.
5Plans, quotas, and billing
5.1 Free and paid plans
Sidecue offers a free tier with a monthly quota and paid plans with higher quotas. Plan details and pricing are shown in the extension and on our website.
5.2 Usage metering
Usage is metered by session duration against your monthly quota. When your quota is exhausted, you can’t start new sessions until the next billing period or an upgrade.
5.3 Billing and payments
Paid subscriptions are billed on a recurring basis and processed by Polar.sh from inside the extension. We do not receive or store your card details. Subscribing authorizes recurring charges until you cancel. Prices may change with reasonable notice.
5.4 Cancellation and refunds
You may cancel anytime; your subscription stays active until the end of the current period. No prorated refunds are provided for partial periods. If you believe a charge was made in error, contact contact@sidecue.app.
6Acceptable use
You agree not to:
- Use the Service where recording or AI assistance is prohibited by law or policy.
- Deceive, defraud, or misrepresent your qualifications or identity.
- Record or redistribute others’ conversations without required consent.
- Reverse-engineer or attempt to extract the Service’s source or algorithms.
- Circumvent usage metering, quotas, or access controls.
- Share, resell, or sublicense your account or credentials.
- Upload unlawful or infringing content through the knowledge base.
- Use bots or scripts that exceed normal human usage, or disrupt the Service.
You are solely responsible for ensuring your use complies with all applicable laws, including consent and recording laws in your jurisdiction.
7Your content
You retain ownership of any content you provide through the knowledge base and uploaded files. You grant us a limited, non-exclusive license to store, sync, and process that content solely to deliver the Service; it terminates when you delete the content or your account. At session start, uploaded files are temporarily transferred to Google’s Gemini File API and expire after 48 hours.
Session transcripts and generated cues are saved to your account and can be deleted at any time. Cue responses come from third-party AI models, may contain inaccuracies, and are provided “as is”, you decide whether to use them.
8Intellectual property
The Service, including its design, code, interface, and branding, is the property of Michał Włosik EFC. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. The name “Sidecue”, its logo, and related marks are our trademarks and may not be used without permission.
9Third-party services
The Service relies on Deepgram (speech-to-text), Google Gemini (cue generation), Supabase (auth, storage, history), and Polar.sh (payments). These are operated by independent third parties under their own terms. We are not responsible for their availability or conduct, though we’ll make reasonable efforts to address disruptions.
10Disclaimer of warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and make no warranty that the Service will be uninterrupted, error-free, or that cues and transcriptions will be accurate. Results depend on audio quality, noise, accents, language, and model limitations.
11Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or opportunities. Our total aggregate liability shall not exceed the greater of the amount you paid us in the preceding twelve months or fifty euros (€50).
12Indemnification
You agree to indemnify and hold harmless Michał Włosik EFC from claims arising out of your use of the Service, your violation of these Terms or any law, content you provide, or your reliance on AI-generated content.
13Termination
You may stop using the Service and delete your account at any time; deleting your account permanently removes your knowledge base, history, and files. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. Provisions on IP, disclaimers, liability, indemnification, and governing law survive termination.
14Changes to these terms
We may update these Terms from time to time. For material changes we’ll update the effective date and, where feasible, notify you. Continued use after updated Terms take effect constitutes acceptance.
15Governing law
These Terms are governed by the laws of the Republic of Poland, with exclusive jurisdiction in the courts of Wrocław. If you are an EU consumer, you may also rely on the mandatory consumer protection laws of your country of residence.
